Technicolor a annoncé jeudi 1er mars 2018 un accord exclusif avec InterDigital (une entreprise américaine de R&D dans le domaine des technologies mobiles) par lequel la société s’engage irrémédiablement à acquérir les activités de Licences de Brevets de Technicolor.
L’accord inclut la vente de la quasi-totalité du portefeuille de brevets de Technicolor (une activité lucrative qui avait assuré presque tous les bénéfices de Technicolor au début des années 2010), excepté les brevets liés à l’activité terminaux mobiles, un petit nombre de brevets pour des technologies naissantes et certains brevets associés à des groupes de brevets. L’accord comprend également les intérêts de Technicolor dans le programme commun de licences avec Sony dans les domaines de la télévision numérique et des écrans d’ordinateurs et certains contrats portant sur des redevances. Un petit nombre de contrats, notamment ceux liés aux groupes de brevets tels que MPEG LA et HDMI seront conservés par Technicolor. Les équipes en charge des Licences de Brevets chez Technicolor seront intégrées par InterDigital qui bénéficiera ainsi de leur expertise et de leur savoir-faire uniques.

Technicolor percevra un paiement initial de 150 millions de dollars US, auquel s’ajoutent 42,5% des flux de trésorerie futurs de l’activité d’InterDigital dans le domaine des Licences de produits électroniques grand public estimés prudemment par Technicolor à une valeur (actuelle) nette d’environ 215 millions de dollars US.
Dans le cadre de cette transaction, Technicolor et InterDigital vont également conclure un accord de licences de concession perpétuelle qui permettra à Technicolor de pleinement exploiter ses activités restantes et de s’appuyer sur les brevets existants et à venir. Cet accord confèrera à Technicolor un niveau de protection de propriété intellectuelle identique à celui d’aujourd’hui.
Les activités opérationnelles de Technicolor ont versé environ 15 millions d’euros de redevances à l’activité Licence de Brevets en 2017, mais certains conflits d’intérêts ont commencé à émerger entre les deux divisions. Sur la base de ces chiffres, Technicolor a évalué la valeur de cet accord à 108 millions de dollars US.
Accord de soutien financier pour la recherche
Technicolor et InterDigital vont conclure un accord de coopération en matière de recherche. Les laboratoires d’Interdigital et la Recherche & Innovation de Technicolor développeront, au sein de cet accord, des programmes collaboratifs de recherche dans les domaines du codage vidéo, de la Maison Connectée et des technologies immersives. Les deux sociétés bénéficieront d’une force d’innovation commune de premier plan pour continuer à développer des technologies de pointe. L’objectif est de transformer cet accord en un partenariat de long terme.
Pendant toute la durée de la coopération, InterDigital versera à Technicolor 5 millions de dollars US par an. InterDigital investira 5 millions de dollars US supplémentaires par an dans les projets de R&D internes alignés avec les priorités de la coopération.
Recentrage sur les activités opérationnelles principales
Cette transaction conclut le recentrage stratégique de Technicolor sur ses activités opérationnelles. Le groupe simplifie ainsi sa structure et allouera son capital et ses ressources à ses activités opérationnelles principales (Services Entertainment et Maison Connectée). Technicolor utilisera le produit de la vente pour se désendetter.
Commentant la transaction, Frédéric Rose, DG de Technicolor a déclaré : « Cet accord va nous permettre de nous concentrer pleinement sur nos activités opérationnelles et contient un accord de coopération pour la recherche qui s’appuie sur l’expertise de nos équipes R&D. Je suis convaincu qu’InterDigital, en tant que leader mondial dans le domaine des licences, est le bon partenaire. Nous allons bénéficier de son expertise soutenue par une R&D spécialisée pour continuer à collecter à l’avenir les revenus provenant de l’activité de Licences de Brevets. Enfin, j’ajoute que rejoindre InterDigital constitue sans aucun doute une belle opportunité pour nos employés en Licences de Brevets qui pourront continuer à y développer leur expertise incomparable. »

Cela constitue la base d’une collaboration et de relations plus étroites et plus efficaces. Cette transaction permet également d’élargir les marchés auxquels nos produits s’adressent. L’un des bénéfices clefs est l’accord de recherche entre Technicolor et InterDigital fondé sur un respect mutuel pour leurs capacités de recherche. Nous sommes très optimistes quant aux résultats de cette collaboration. »
La transaction devrait être finalisée à la mi-2018, après que les conditions de clôture habituelles et les conditions relatives au consentement des partenaires de Technicolor soient remplies.
